AGREEMENT BETWEEN AUTHOR AND PUBLISHER

This agreement is made the ...............day of...............19.....................BETWEEN ABC. aged about....................years, son of........................resident of............................(hereinafter for the sake of brevity referred to as the "Author") of the ONE PART, AND The United Publishing Company Ltd., a company incorporated under the Companies Act, 1956 having its registered office at.........acting through its Managing Director........... (hereinafter also for the sake of brevity referred to as the "Publisher") of the OTHER PART.

WHEREAS the Author has written a book entitled................on the subject of the manuscript of which is ready and fit for the press and is such form runs into 1000 typed written pages.

AND WHEREAS the Publisher is desirous of publishing the said Book and the Author is willing to manuscript publication thereof the said Publisher.

NOW THEREFORE THIS AGREEMENT WITNESSES AS FOLLOWS:

1.That in consideration of the payment by the Publisher to the Author of a sum of Rs.............only, receipt whereof the Author hereby acknowledges the Author has today handed over to the Publisher the 1000 page, typewritten manuscript of his book titled as .......................on the subject of  publication and sale in accordance with the terms hereinafter laid down.

2.That the Publisher shall print cause the said book to be printed, final proofs of such shall be placed before the Author for correction and approval and the book placed for sale in the market within a period of................months from the date hereof at the price of Rs.................................per copy. If the printing of the Book is delayed for no unforeseen circumstances, but due to willful default of the Publisher for a period beyond...............months the Author may at his option terminate this agreement and forfeit the sum of Rs.......................given to him by way of Royalty and referred to in Clause I above.

3. That the form, display, size, composition and the paper shall be such as usually used in such books, and in any case before use shall be subject to the approval of the Author.

4. That the Publisher is allowed to print under this agreement only.......................copies of the said book. All costs and expenses of publication, which shall include binding, advertising and placing the book in the market in a saleable form be borne by the Publisher.

5. That the Publisher shall not sell the book at any price other than Rs..................... mentioned in Clause 2 above and keep a separate account of all sales of the said book and pay to the Author on all sales a further Penalty of .....................percent. Accounts to be adjusted between the Author and the Publisher every third month Any sales at a price lower than Rs................per book will be resorted to only with the prior consent of the Author.

6. That the Publisher will supply to the Author free of cost..................copies of the said book for presentation purposes only. All such copies shall not be sold or parted with by the Author on payment of any money.

7. That the Author hereby declares and assures the Publisher that the Book written by him is his sole work and would not infringe the copyright of another and does not contain any matter prejudicial, obscene, injurious or prohibited by law. And in case the sale or circulation of the book is stopped outright or for a in this para the Author shall if so adjudged be liable to Publishers and shall be responsible for all losses and damages sustained by such stoppage.

8. That any and all subsequent editions of the Book shall be published on the condition of a lump sum royalty and a percentage royalty not exceeding the amount or percentage herein agreed by the Publishers from time to time as may be decided by the Publisher. In case, however, the Publisher does not desire to bring out any further editions of the Book or cases to exist the Author shall have the right to entrust the publication of the book to any other publishers

9. That the copyright in the said book shall continue to vest in and remain with the Author, who will in the event of any action brought by the Publisher if so required by them, join in as plaintiff for the purposes of preventing only infringement of such copyright or realising damages for such infringement..

10. That the terms the "Publisher" and the "Author" herein used shall include, if not repugnant to the context in the case of the former their successors, representatives and assigns and in the case of the letter his heirs, representatives and assigns.
